Terms of Service

By creating an account, accepting an invite, connecting Slack, clicking to accept, or using the Service, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company. If you lack authority or do not agree, do not use the Service.

“You” means the individual User and, where applicable, the Customer organization. “We” means Al-Lami Ventures s.r.o., doing business as Piwot, product mark PIWOT℗.

Electronic acceptance (including account creation, in-product checkboxes, and e-signature of a Service Agreement) is intended to have the same effect as a handwritten signature to the extent permitted by applicable law (including ESIGN and eIDAS principles).

Paid design subscriptions may also be governed by a separate Service Agreement (including e-signed PDFs generated on the Platform). That agreement may set fees, seats, refund windows, deliverable ownership, marketing licenses, and other commercial terms.

If there is a conflict between these Terms and a signed Service Agreement on commercial terms (price, seats, refunds, scope of design services, ownership of finished client deliverables), the signed Service Agreement controls for that Customer. These Terms control the Platform software, accounts, acceptable use, Slack integration, and multi-tenant operations unless the Service Agreement expressly overrides a named section.

We provide a business software platform for managing design requests and related subscription capacity. Features may include:

• Request boards, statuses, briefs, files, comments, and assignments
• Team invites, roles, and workspace settings
• Billing, plan selection, and electronic Service Agreements
• In-app, email, and optional Slack notifications
• Support chat and agency inbox tools
• Optional designer matching suggestions

We may change, add, or remove features with reasonable notice when practicable. We do not guarantee that any particular feature will remain available indefinitely. Design creative services performed by humans are described in your plan or Service Agreement; the Platform is the system of record for tickets and collaboration.

• You must provide accurate registration information and keep it current
• You must be able to form a binding contract (typically 18+)
• You are responsible for credentials and activity under your account
• Customer admins control invites, roles, Slack connection, and billing contacts
• Notify us promptly of unauthorized access at support@piwot.co

We may refuse, suspend, or reclaim usernames or workspaces that infringe rights or create security risk.

You will not, and will not allow others to:

• Violate law, third-party rights, or these Terms
• Upload malware, illegal content, or content you lack rights to use
• Attempt to access other Customers’ data or break multi-tenant isolation
• Probe, scan, or load-test the Service in a way that degrades it without written permission
• Scrape or harvest data at abusive scale
• Reverse engineer the Service except where mandatory law allows
• Resell, white-label, or provide the Service to third parties as your own product without a written partner agreement
• Use the Service to send spam or deceptive communications
• Interfere with Slack workspaces you do not administer, or use stolen OAuth tokens
• Circumvent seat limits, billing, or security controls

We may investigate violations and cooperate with law enforcement when legally required.

6.1 Your content

As between you and us, Customer Content remains owned by the Customer or its licensors. You grant us a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content solely to provide and secure the Service (including backups, CDN delivery, Slack notifications you enable, and subprocessors under the Privacy Policy).

6.2 Design deliverables

Ownership and license of finished design deliverables produced under a paid subscription are governed by the Service Agreement (or order form). These Terms do not reassign IP contrary to that agreement.

6.3 Platform IP

The Platform software, UI, documentation, trademarks (including PIWOT℗ and related marks), and know-how remain ours or our licensors’. No rights are granted except as expressly stated.

6.4 Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

Slack is optional. Connecting Slack requires a signed-in Customer admin. OAuth state binds the install to that organization. One Slack workspace may link to at most one Piwot organization.

• You control which Slack channel receives notifications
• You are responsible for who can see that channel and who uses slash commands or buttons
• Unlinked Slack teams receive no board data from our APIs
• Mutations from Slack are limited to requests the install is allowed to access
• You may disconnect in Settings → Connections or uninstall in Slack

Slack is a third-party service. Your use of Slack is also subject to Slack’s terms and policies. We are not responsible for Slack outages, workspace admin policies, or content posted by your Users in Slack.

Paid plans are billed as described at checkout, in the Platform, or in your Service Agreement. Payment processors (for example Whop) handle card data under their terms. You authorize recurring charges if your plan renews.

Fees are exclusive of taxes unless stated. You are responsible for applicable taxes except taxes based on our net income.

Refunds follow the offer or Service Agreement shown at purchase. Where a money-back window is offered (often seven days for new subscriptions unless stated otherwise), it applies only as written. After that window or for mid-cycle seat changes, fees are non-refundable except where mandatory law requires otherwise.

Failure to pay may result in suspension. You remain responsible for amounts owed through the effective cancellation date.

We may label features as beta, preview, or experimental. Those features are provided as-is, may change or end without notice, and may be less reliable than generally available features.

Each party may receive non-public business information of the other (“Confidential Information”). The receiving party will use it only for the relationship under these Terms, protect it with reasonable care, and not disclose it except to personnel and subprocessors with a need to know under confidentiality obligations, or as required by law (with notice if legally permitted).

Confidential Information does not include information that is public through no fault of the receiver, independently developed, or rightfully received from a third party without duty of confidence. Customer Content is Customer Confidential Information. Platform security details and non-public product roadmaps are our Confidential Information.

Our processing of Personal Data is described in the Privacy Policy at https://app.piwot.co/privacy-policy. For Customer Content, you represent that you have a lawful basis to provide Personal Data of your Users and end subjects to the Service.

The Service may interoperate with third parties (Slack, Whop, Cal.com, AI model APIs, email providers, hosting). Those services are not under our control. We are not liable for third-party acts, omissions, or downtime beyond our reasonable control. Enabling a third-party integration is at your option and risk, subject to that party’s terms.

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that content will be secure beyond reasonable efforts described in the Privacy Policy.

Design outcomes depend on briefs, feedback, and collaboration. Time estimates (for example first delivery targets used in marketing) are goals, not guarantees, unless a signed Service Agreement states a firm SLA.

14.1 By Customer

You will defend and indemnify Al-Lami Ventures s.r.o. and its officers, directors, and employees against third-party claims arising from: (a) Customer Content; (b) your use of the Service in violation of these Terms or law; (c) disputes among your Users; or (d) your combination of the Service with systems not provided by us, except to the extent caused by our willful misconduct.

14.2 By us (Platform IP)

We will defend you against third-party claims that the unmodified Platform software, as provided by us, infringes a patent, copyright, or trademark, and pay damages finally awarded, provided you give prompt notice, reasonable cooperation, and sole control of defense. We may procure rights, modify the Service, or terminate the affected feature with a pro-rata refund of prepaid fees for the terminated portion. This Section does not apply to claims based on Customer Content, combinations, or use after we notify you to stop.

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data, even if advised of the possibility; (b) each party’s aggregate liability arising out of the Service is limited to the amounts paid or payable by you to us for the Service in the twelve (12) months before the event giving rise to liability.

The foregoing does not limit liability for death or personal injury caused by negligence where not excludable, fraud or fraudulent misrepresentation, or other liability that cannot be limited under applicable law. Fees owed remain payable.

You may stop using the Service and cancel per your plan or Service Agreement (including cancellation through the Platform where available).

We may suspend or terminate access for material breach, non-payment, legal risk, security incidents, or extended inactivity of free resources, with notice when reasonably practicable. Upon termination: your license to use the Platform ends; we may delete Customer Content after a commercially reasonable wind-down (export available on request during that window where feasible); Sections that by nature should survive (IP, fees, confidentiality, indemnity, liability, governing law) survive.

You will not use the Service in violation of export control or sanctions laws of the EU, United States, or other applicable jurisdictions. You represent you are not a prohibited party under such laws.

Neither party is liable for delay or failure due to events beyond reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. Payment obligations are not excused by force majeure except where the payment systems themselves are unavailable and alternative payment is promptly arranged.

You may not assign these Terms without our prior written consent, except to an affiliate or successor in connection with a merger or sale of substantially all assets, with notice. We may assign to an affiliate or successor, or in connection with financing. These Terms bind permitted successors.

These Terms are governed by the laws of the Slovak Republic, without regard to conflict-of-law rules, except that a signed Service Agreement may specify different governing law for that commercial contract.

Exclusive jurisdiction and venue lie in the competent courts of Bratislava, Slovak Republic, subject to mandatory consumer protections where they apply to an individual. Either party may seek injunctive relief in any court of competent jurisdiction for IP or confidentiality breaches.

• If any provision is unenforceable, the remainder stays in effect
• Failure to enforce is not a waiver unless acknowledged in writing
• These Terms, the Privacy Policy, and any Service Agreement or order form are the entire agreement on their subject matter and supersede prior discussions on that subject (fraud excluded)
• Notices may be sent by email to addresses on file; Platform notices may supplement but formal legal notices should use email
• Headings are for convenience only
• English language controls these Terms

We may update these Terms by posting a new version at this URL. Material changes will be notified where required. Continued use after the effective date constitutes acceptance where permitted; if you do not agree, stop using the Service and cancel as allowed.
